DQMH Sales and Membership Terms
Effective date: 16 October 2026.
These terms apply to purchases made after their publication. They do not replace terms or licence rights previously agreed.
1. Who we are
These terms apply to purchases of software licences, memberships and related services from DQMH Consortium, LLC through dqmh.org or a Consortium-issued quotation or payment link.
DQMH Consortium, LLC is registered in Williamson County, Texas.
Registered address: 2805 Taku Rd, Cedar Park, TX 78613, United States.
Customer support: [email protected]
Contact form: https://dqmh.org/contact/
If you purchase on behalf of an organisation, you confirm that you are authorised to do so.
2. Your purchase and applicable licences
Before paying, review the product or programme, quantity, price, delivery arrangements and any recurring charges.
These terms govern the commercial transaction. Each software product remains subject to its applicable licence, which determines permitted users, installations, company use, distribution and other usage rights. Buying a product or membership does not transfer ownership of its intellectual property. A specific refund, warranty or remedy expressly granted by the applicable product licence or your written purchase agreement is preserved; a general restriction in these terms does not withdraw that right.
A specific written quotation may supplement these terms. Any agreed exception must identify the provision it changes. Nothing in these terms limits rights that applicable law does not allow us to exclude.
3. Prices, payment and invoices
Prices are stated in US dollars (USD) unless expressly indicated otherwise. The payment page shows the amount payable and any applicable taxes before you confirm payment. Your payment provider may apply currency-conversion or other charges.
Payments are processed through Stripe. Do not send payment-card details by email or through our contact form.
Stripe payment receipts and Consortium-issued invoices are separate documents. Please provide accurate billing information and contact us if a correction is needed.
A quotation alone does not charge you or activate access. Any recurring charge must be disclosed before you authorise the purchase.
4. Electronic delivery and activation
Software, licence information and membership access are delivered electronically. Fulfilment and membership activation currently require manual processing by the Consortium.
Payment confirmation does not mean that software delivery, membership approval or activation has been completed.
We deliver ordinary software orders and activate ordinary memberships within five business days after payment. Application reviews and separately quoted services follow their agreed timetable. If delivery is delayed, contact [email protected].
If we cannot fulfil an order, we will contact you to arrange an agreed alternative or refund the unfulfilled portion.
5. Memberships and registered participants
Membership benefits are those described for your programme when you purchase, subject to the applicable software licences and any specific written agreement.
- Individual Enthusiast: access for one registered person.
- Team Enthusiast: a company membership with a minimum of five paid places.
- Trusted Advisor: a company programme requiring separate approval.
Team and Trusted Advisor memberships use named participants and a designated main contact. Keep participant details accurate. Participants must use their own accounts; sign-in codes and credentials must not be shared.
Changing participants does not automatically change the number of paid places or the subscription charge. Contact the Consortium to request a programme or paid-place change.
Membership does not itself confer ownership, voting rights or authority to represent the Consortium.
6. Annual subscriptions and automatic renewal
Where your purchase includes an annual subscription, it renews automatically each year until cancelled. Before payment, the purchase flow identifies the initial charge, recurring amount, billing interval and any one-time items.
One-time software purchases and donations do not become recurring merely because they are purchased with a membership.
For DTS Annual, the current offer charges US$2,700 initially, including the first year, followed by US$800 annually. Its software licence governs continued use. Contact the Consortium before renewal if you need to discuss an inactive-year arrangement; cancelling renewal does not convert an annual licence into a perpetual licence.
Stripe is configured to send an upcoming-renewal reminder 15 days before renewal. Your billing portal shows the scheduled renewal date. Contact us promptly if you believe that date or amount is incorrect.
For an existing membership transferred from an earlier billing arrangement, the Consortium will confirm the agreed coverage period and next renewal date. Existing historical orders are not automatically imported into the new website.
We will notify you of proposed subscription price changes before they take effect, identify the new amount and effective date, and give you an opportunity to cancel before the changed price is charged. We will obtain any additional consent and provide any notice period required by applicable law. A price change does not affect a period you have already paid for.
7. Cancelling renewal and managing billing
You can cancel future renewal through Account → Manage billing at https://dqmh.org/account/.
The Stripe portal uses your billing/customer email address, which may differ from your member-area email address. If you cannot access the portal, contact [email protected] for assistance.
Cancellation takes effect at the end of the current paid billing period. It stops future renewal and ordinarily leaves paid membership access available until its recorded expiry date. Applicable software licences continue to govern software use.
Cancelling renewal does not automatically refund an earlier payment. Removing a participant or deleting a website account does not cancel Stripe billing; use the billing portal or contact us.
If a renewal payment fails, membership access is not extended until payment is resolved. We will not treat an unsuccessful payment as successful.
8. Refunds and purchase problems
Contact [email protected] with your order reference and a description of the problem. Do not include full payment-card details.
Software purchases
You may cancel a software order for a full refund before the licensed software, licence key or paid access has been delivered or made available to you. Once that delivery has occurred, software purchases are non-refundable for a change of mind, including if you choose not to download, install or use the product. For an annual software licence, a renewal charge is non-refundable for a change of mind once the renewed paid term begins; cancel future renewal before that date.
This policy does not remove a refund right expressly granted by the applicable product licence, a licence version you previously accepted or your written purchase agreement. The DQMH Framework is free. Its licence is not automatically the licence for every paid product.
Ordinary membership payments
You may cancel an ordinary Enthusiast membership purchase for a full refund before activation. Once the membership is activated, or a paid renewal term begins, we do not provide change-of-mind or proportional refunds for unused time or unused participant places. You may stop the next renewal as described in section 7. Trusted Advisor fees follow section 9.
Billing errors, non-delivery and mandatory rights
The change-of-mind restrictions do not prevent correction of duplicate or unauthorized charges, refunds for an order we cannot fulfil, or remedies for defective or materially misdescribed software or services where required by applicable law or the applicable licence. Depending on the circumstances, the appropriate remedy may include correction, repair, replacement, a price reduction or a refund. A refund is not conditional on accepting a replacement where the law entitles you to a refund.
Approved refunds are returned to the original payment method without undue delay and within any deadline required by applicable law. Your bank or payment provider may need additional processing time.
If a refund ends a software licence, you must stop the refunded use and remove the copies covered by that licence, subject to applicable law. A partial refund affects only the rights or services identified in the refund agreement.
Mandatory statutory withdrawal, cancellation, warranty and refund rights prevail over every non-refundable statement in these terms, including sections 9 and 10. Where digital-content withdrawal rights apply, payment or acceptance of these terms alone does not waive them. Any legally required consent to immediate digital supply, acknowledgement of loss of withdrawal rights and contract confirmation must be obtained separately before relying on that exception.
9. Trusted Advisor applications
Trusted Advisor admission requires an application and review. Payment does not guarantee admission or permission to use Trusted Advisor branding.
Your quotation identifies the application charge, included membership period, participant allowance and any separately stated review supplement. Payment must be received before review begins.
You must have authority to submit the project and supporting materials. Agree any confidentiality requirements with the Consortium before sharing confidential or third-party material.
Trusted Advisor application, review and programme fees are non-refundable for a change of mind, withdrawal of an application or an unsuccessful application. This includes any separately disclosed review supplement. Mandatory rights and billing-error/non-delivery remedies in section 8 remain unaffected.
If the application is declined, the applicant receives Enthusiast membership for the first membership year covered by the initial payment, without an additional membership charge for that same coverage. This does not confer Trusted Advisor status or branding rights. Your quotation must identify the Enthusiast programme, included paid places and first-year coverage dates before payment.
You may reapply under a new quotation or cancel future renewal before the first paid year ends. The Consortium must confirm the applicable programme, annual renewal price, paid places and next billing date before any renewal; it must obtain any additional agreement required for a change to the original billing authorization. Declining admission does not itself authorize an additional charge or a second first-year fee.
Approved companies must follow the programme’s published eligibility and branding requirements. Approval does not guarantee customer referrals, contracts or particular commercial results.
10. Donations
Donations are one-time unless expressly presented and authorised as recurring. A donation does not purchase software, membership or a particular service.
Donations are final and non-refundable for a change of mind. Please check the amount and payment details before confirming your donation. This does not prevent correction of a duplicate or unauthorized charge or any refund required by law. Contact [email protected] promptly if you believe a payment was processed incorrectly.
We make no representation about tax deductibility.
11. Responsible access, privacy and service changes
Do not share protected files beyond the rights granted by the applicable licence, attempt unauthorised access, or use the services unlawfully.
We may restrict access where reasonably necessary to address misuse or a security incident. Where appropriate, we will explain the restriction and provide a way to contact us. Cancellation and refund consequences must follow these terms and applicable law.
Our privacy notice explains how we handle purchase, membership and website information: https://dqmh.org/privacy/.
We may update these terms for future purchases. An update does not by itself change an existing paid agreement or authorise additional charges.
12. Legal provisions and disputes
Product commitments and warranties
We will supply the product or service described in your order and honour express commitments in the applicable product licence or written purchase agreement. You are responsible for checking the stated system requirements and backing up your data before installation or use. No statement here overrides a specific support, consulting or delivery commitment included in your purchase.
TO THE EXTENT PERMITTED BY APPLICABLE LAW, AND EXCEPT FOR EXPRESS COMMITMENTS IN YOUR ORDER, APPLICABLE PRODUCT LICENCE OR WRITTEN AGREEMENT, SOFTWARE AND WEBSITE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT PROMISE UNINTERRUPTED OR ERROR-FREE OPERATION. THIS DISCLAIMER DOES NOT EXCLUDE MANDATORY WARRANTIES OR THE REMEDIES PRESERVED IN SECTION 8.
Limits on liability
TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE CONSORTIUM IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL LOSS, INCLUDING LOSS OF PROFITS, BUSINESS OPPORTUNITY OR DATA, ARISING FROM THE PURCHASE OR USE OF A PRODUCT OR SERVICE.
SUBJECT TO THE EXCEPTIONS BELOW, THE CONSORTIUM’S TOTAL AGGREGATE LIABILITY ARISING FROM THE AFFECTED PRODUCT OR SERVICE IS LIMITED TO THE AMOUNT YOU PAID FOR THAT ONE-TIME PURCHASE OR, FOR A RECURRING PRODUCT OR MEMBERSHIP, THE FEES YOU PAID FOR THAT AFFECTED SUBSCRIPTION IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These exclusions and limits do not apply to fraud, fraudulent misrepresentation, wilful misconduct, gross negligence, death or personal injury caused by negligence, or any liability that cannot lawfully be excluded or limited. They do not limit an express refund obligation under these terms or a more favourable remedy expressly granted by the applicable product licence. Nothing in these terms waives protections under the Texas Deceptive Trade Practices–Consumer Protection Act where applicable or other mandatory customer rights.
Governing law and courts
These terms are governed by the laws of the State of Texas and applicable United States federal law, without applying conflict-of-laws rules to displace that choice. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
For business purchasers, disputes are subject to the exclusive jurisdiction of the state courts in Williamson County, Texas, or the United States federal court with jurisdiction over that county where federal jurisdiction exists. For consumers, this choice of law and courts does not remove mandatory protections or the right to bring proceedings in another court where applicable law gives that right.
Resolving concerns and remaining provisions
Please contact [email protected] with your order reference and the remedy you seek so we can investigate and try to resolve the concern. Contacting us is not a mandatory waiting period before seeking urgent relief, exercising statutory rights or meeting a filing deadline.
These terms do not require arbitration, waive a jury trial or class proceedings, or shorten an otherwise applicable statutory deadline. If a provision is unenforceable, the remaining provisions continue to apply to the extent legally permitted. A failure to enforce a provision on one occasion does not waive it on another. Any material change to an existing agreement requires the agreement or notice required by applicable law; posting revised terms alone does not authorize a new charge.
